Building Access Agreement
A. Owner is the owner of a building located at the listed address which is within the area served by the District.
B. Tenant is a tenant of all or a portion of the building located at the listed address.
C. Owner and Tenant wish to provide the District with a means of access to Owner’s building in order to minimize the necessity for forcible entry in the event of an alarm, false alarm, report of a fire, sighing of smoke, hazardous material spill or leak, medical emergency, or other similar circumstances necessitating or apparently necessitating emergency access to the building.
D. In order to provide efficient emergency access to different buildings within the District, it is desirable that the emergency access system be as uniform as possible.
E. “DISTRICT” is defined as the responding fire departments, including all mutual or automatic aid response companies dispatched under an approved agreement.
THEREFORE, the parties agree:
1. Owner and/or Tenant shall obtain and install a keysafe on the outside of the Owner’s building. The purpose of the keysafe is to allow District to gain access to the interior of the improvements on the property should such access by actually or apparently necessary or advisable. Installation of a keysafe is not a requirement of the District, an Owner and/or Tenant is having the keysafe installed as a voluntary act.
2. Upon installation, Owner shall immediately inform District of the location of the installation, and Owner and Tenant shall provide District with keys to the premises. If Owner or Tenant changes the locks on the building at any time, the person changing the locks shall immediately inform District and provide District with replacement keys.
3. Owner and Tenant acknowledge and agree that District makes no warranties, representations, or promises concerning the security of any particular keysafe, that the District is not the seller, distributor, or manufacturer of such keysafe, and that Owner is purchasing the keysafe solely because of Owner’s own inspections and satisfaction with the keysafe.
4. Owner and Tenant specifically release District from and liability or claims for theft, loss, or damage to Owner’s building arising out of or in any way related to the installation, use, or unauthorized use of the keysafe.
5. Owner and Tenant agree to indemnify and hold harmless District, its officers, agents, and employees from and against any and all claims for or on account of any damage, loss, or injury either to person or property, now existing or arising in the future, on account of or in any way arising from the installation or maintenance of the keysafe on the property or the placement in the keysafe of a key or keys for use by District.
6. Owner and Tenant specifically authorize District to use the keys contained in the keysafe to gain access to Owner’s building and Tenant’s leasehold at any time District deems emergency access necessary or advisable. This agreement is solely for the mutual convenience of Owner, Tenant, and District, and nothing contained in this agreement shall require District to use the keys contained in the keysafe to gain access to Owner’s building, or to prevent District from using other means, including forcible means, to gain such access when,
in the sole discretion of the District, such other means are more practicable or advisable. Nothing in this agreement shall be deemed to impose any obligation on District to use the keysafe or any obligation greater than or different from the duties which District may owe to the general public. It is expressly agreed by the parties that District, its officers, agents, and employees shall at all times enjoy all applicable immunities provided by state or federal law.
